1. INTRODUCTION

These Terms & Conditions of Business ("Terms") govern the provision of services by Fold and Flow Studio, a brand of Emporiumtwentytwo Limited (Company No. 14459420), a company registered in England & Wales with its registered office at 128 City Road, London EC1V 2NX, United Kingdom ("Fold and Flow Studio", "Studio", "we", "us", "our").

By engaging our services, requesting a quotation, signing a proposal, paying a retainer, or otherwise instructing us to undertake work on your behalf, you agree to be bound by these Terms.

2. SERVICES

Fold and Flow Studio provides bespoke fabric installations, event styling, creative design services, consultations, fabrication, production management, and related event services.

All services are bespoke and are supplied in accordance with the agreed proposal, quotation, project scope, or contract.

Any variation to the agreed scope may result in additional fees and revised timelines.

3. QUOTATIONS & PROPOSALS

All quotations and proposals are valid for 30 days unless otherwise stated.

A quotation does not constitute a confirmed booking.

A booking is only confirmed once:

  • Written acceptance has been received;

  • Any required agreement has been signed;

  • The booking retainer has been paid in cleared funds.

We reserve the right to withdraw or amend quotations prior to booking confirmation.

4. DESIGN & CONSULTATION SERVICES

Where applicable, separate fees may apply for:

  • Design development

  • Concept creation

  • Creative direction

  • Technical planning

  • Site visits

  • Consultations

  • Project management

Design and consultation fees are non-refundable once work has commenced.

5. PAYMENT TERMS

Unless otherwise agreed in writing:

  • A non-refundable booking retainer of 30%–50% is required to secure services.

  • The remaining balance is due no later than 30 days before the installation or event date.

  • Additional services requested after booking may be invoiced separately.

  • All invoices must be paid by the stated due date.

Failure to make payment may result in suspension or cancellation of services.

6. CANCELLATIONS & POSTPONEMENTS

Cancellation terms shall be governed by the applicable Fabric Installation Agreement or project-specific contract.

Where no separate agreement exists:

  • Booking retainers remain non-refundable.

  • Clients remain responsible for all costs incurred prior to cancellation.

  • Projects cancelled within 30 days of installation may be charged in full.

  • Postponements are subject to availability and may incur additional charges.

7. CLIENT RESPONSIBILITIES

Clients are responsible for ensuring:

  • Accurate project information is provided.

  • Venue access is available at agreed times.

  • Necessary permissions and approvals are obtained.

  • Site conditions are safe and suitable.

  • Any venue restrictions are disclosed in advance.

We shall not be responsible for delays or additional costs arising from inaccurate information or access restrictions.

8. VENUE ACCESS & SITE CONDITIONS

We reserve the right to amend, delay, or refuse installation where site conditions are unsafe, inaccessible, or materially different from those communicated during planning.

Additional labour, waiting time, equipment, or materials required due to site conditions may incur additional charges.

9. DESIGN INTERPRETATION

Any mood boards, sketches, renders, reference imagery, Pinterest images, social media content, or visual inspiration supplied by a client are provided for creative direction only.

Exact replication of any reference image is not guaranteed.

Final designs remain subject to venue conditions, material availability, budget, logistics, safety requirements, and professional judgement.

10. MATERIALS & AVAILABILITY

Where specific materials, fabrics, finishes, colours, or products become unavailable, we reserve the right to substitute comparable alternatives of a similar quality and aesthetic.

We shall not be liable for supplier shortages, manufacturing delays, shipping delays, or circumstances beyond our control.

11. INSTALLATION, DAMAGE & RESPONSIBILITY

Responsibility for installations transfers to the client upon completion of setup.

We shall not be liable for:

  • Damage caused by guests

  • Venue staff interference

  • Supplier interference

  • Weather conditions

  • Misuse of installations

  • Alterations made after completion

Any repair, replacement, or reinstatement work may incur additional charges.

12. FIRE & SAFETY

We reserve the right to refuse any installation arrangement that we consider unsafe.

Fabrics and decorative materials may not be positioned near naked flames, pyrotechnics, heat sources, or other hazards unless approved by us in writing.

Safety decisions made by Fold and Flow Studio are final.

13. INTELLECTUAL PROPERTY

All concepts, designs, drawings, proposals, creative direction, styling methods, and related materials remain the intellectual property of Fold and Flow Studio.

No intellectual property rights are transferred unless expressly agreed in writing.

Clients may not reproduce, copy, distribute, or commercially exploit our work without prior written permission.

14. PHOTOGRAPHY, FILMING & PORTFOLIO USE

Unless otherwise agreed in writing, we reserve the right to photograph, film, and document completed installations for portfolio, editorial, promotional, marketing, and social media purposes.

Where confidentiality requirements or Non-Disclosure Agreements apply, we will comply with those obligations provided they are agreed in writing before the event.

15. CONFIDENTIALITY

Both parties agree to keep confidential any proprietary, commercial, or sensitive information obtained during the course of the project.

This obligation survives completion of the services.

16. LIMITATION OF LIABILITY

To the fullest extent permitted by law, our total liability arising out of or in connection with our services shall be limited to the total amount paid by the client for those services.

We shall not be liable for:

  • Indirect or consequential loss

  • Loss of profits

  • Loss of business opportunities

  • Third-party actions

  • Venue restrictions

  • Supplier failures

  • Force majeure events

17. FORCE MAJEURE

We shall not be liable for delays, cancellations, or failures caused by events beyond our reasonable control, including:

  • Natural disasters

  • Severe weather

  • Government restrictions

  • Strikes

  • Supply chain disruption

  • War

  • Terrorism

  • Public health emergencies

Any costs incurred before such events remain payable.

18. PRIVACY

Personal information shall be processed in accordance with our Privacy Policy.

Our Privacy Policy forms part of these Terms and Conditions.

19. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising from these Terms.

20. ENTIRE AGREEMENT

These Terms, together with any proposal, quotation, agreement, invoice, or written correspondence expressly incorporated by reference, constitute the entire agreement between the parties.

No variation shall be binding unless agreed in writing by both parties.
